MAY 2006 - "On Wednesday morning the Divine Liturgy was celebrated in the chapel by Metropolitan Nicholas, assisted by several diocesan priests who are celebrating major anniversaries this year. Following brunch the fourth and final session of the Council was opened. Reports on the clergy life insurance and pension plans were presented and approved. A motion to increase the parish portion of the priests’ life insurance by $50 per year was unanimously passed. Election of lay trustees was then conducted. Elected were incumbents Sharon Winkler, Steve Hall, Joe Parimucha and Joe Kacaba, along with two new trustees, Dan Breno and John Bilanin. Metropolitan Nicholas administered the oath of office to the trustees, and expressed his appreciation to outgoing trustees Alex Breno, who retired after 27 years as a trustee, and Ted Koast for their service to the diocese"

.. a few months later Breno's Bilanins and the priest at Holy Ghost began their work on the proposal with Father James Evans on subdivision, zoning and plans for St. Nicholas Brotherhood Property. It is time to either hold them accountable, speak up or accept the inevitable.

MARCH 2003 BYLAW AMENDMENT ON DISSOLUTION CLAUSE FROM MINUTES:

"Article XH - Dissolution.
Paragraph 1. Esther Ferko asked that if the church were to dissolve why the members of
St. Nicholas Brotherhood shouldn't get the proceeds; that founding members and current
members worked hard to keep the property and they should get the proceeds and not the
diocese. Alex Breno stated that legally we are a non-profit corporation and that we
would lose our tax exemption with the IRS were that to happen and we would have to
pay taxes on all earnings. He stated we would have to have our assets transferred to
another non-profit organization. John Bilanin read from the tax laws to answer Mrs.
Ferko's questions. Mike explained that a part of the dissolution clause was taken from
another parish's by-laws, in addition to work done by the old by-laws committee. He
also noted that the clause was similar but the old clause gave the holdings back to state or
county. Janine Legg also commentated on the tax law and essentially corroborated what
John had read. Father John explained how the closing of a church might take place and
assured us we would have to be down to only a few members before that could happen.
John also read a portion of the tax code under Dedication and Distribution of Assets.
Nancy Nadeau questioned this distribution and stated if the church were ever to dissolve
the members should have a say as to where the proceeds would go. She was told that the
church's attorney had looked into this and Mrs. Nadeau questioned the ability of the
attorney in this matter. Theresa Ott suggested we get in touch with a qualified tax
attorney and that she had spoken to Alex Bratic on this matter. Major discussion ensued.
After the meeting was brought back to order, Theron Strenth motioned that we accept the
by-laws as read, with a second by Alex Breno. A vote was taken with the majority voting
to approve the by-laws as read. There were three (3) opposing votes.
President Bilanin thanked everyone for attending the meeting and asked for a motion to
adjourn. Before this could take place Esther Ferko questioned the legality of taping the
meeting. The recording secretary replied that she was both taping and taking notes of the
meeting. President Bilanin noted the method by which the recording secretary takes the
minutes is up to her. A motion by Bev. Bisazza to adjourn with a second by Theresa
Fakete, Motion carried. Father John closed the meeting with hymn "You are truly
deserving".
Respectfully submitted"^-^
